Welcome to UnlockAndLook. These Terms of Service ("Terms") govern your access to and use of the UnlockAndLook platform, website, and related services (collectively, "the Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Platform" refers to UnlockAndLook, its website, and all associated services
- "Creator" or "Seller" refers to any user who uploads and sells content
- "Buyer" refers to any user who purchases content
- "Content" refers to any digital files, media, or materials uploaded to or sold through the Platform
- "We", "Us", "Our" refers to UnlockAndLook and its operators
2. Eligibility
You must be at least 18 years of age or the age of majority in your jurisdiction (whichever is higher) to use this Service. By using the Service, you represent and warrant under penalty of perjury that you meet this age requirement and have the legal capacity to enter into these Terms. We reserve the right to verify your age at any time and to terminate accounts that do not meet this requirement.
3. Account Registration & Security
You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, whether authorized or not
- Notifying us immediately of any unauthorized use or security breach
We reserve the right to suspend or terminate accounts that contain false information, are dormant, or are used in violation of these Terms. One person may maintain only one account unless expressly authorized by us.
4. Platform Role & Disclaimer
UnlockAndLook is a marketplace platform that connects buyers and sellers of digital content. We are an intermediary only. We do not create, own, control, endorse, or guarantee any content sold through the Platform. We do not verify the quality, safety, legality, or accuracy of any content or user claims. All transactions are between buyers and sellers; the Platform facilitates but is not a party to these transactions.
5. Creator Obligations
As a creator, you represent, warrant, and agree that:
- All content you upload is original or you have all necessary rights, licenses, and permissions to distribute it
- All individuals depicted in your content are at least 18 years old and have provided informed consent
- You maintain all records required by applicable law
- You comply with all applicable local, national, and international laws and regulations
- You are solely responsible for your content, its legality, and any consequences arising from it
- You are responsible for all tax obligations arising from your sales, including income tax, VAT, and any other applicable taxes
- You will not upload content that is deceptive, fraudulent, or materially misrepresented
- You grant the Platform a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote your content as necessary to operate the Service (including blurred previews, thumbnails, and promotional materials)
6. Buyer Obligations
As a buyer, you represent, warrant, and agree that:
- You will not redistribute, share, resell, or publicly display any purchased content
- You will not attempt to circumvent any paywall, access control, or content protection mechanism
- Purchased content is for your personal use only and does not transfer any ownership or intellectual property rights to you
- You will not use purchased content for any illegal purpose
7. Platform Fees & Payments
UnlockAndLook charges a 20% platform fee on all sales. Creators receive 80% of the sale price. Fees are deducted automatically at the time of each transaction. The Platform reserves the right to change fee structures at any time with reasonable notice.
Payouts to creators are processed according to our payout schedule and minimum thresholds. The Platform is not responsible for delays caused by payment processors, banks, or blockchain network congestion. All payout amounts are final and non-negotiable.
8. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Upload or distribute prohibited content (see Content Moderation Policy)
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any part of the Service
- Scrape, crawl, or use automated means to access the Service without our written consent
- Impersonate any person or entity or misrepresent your affiliation
- Engage in fraud, money laundering, or any financial crime
- Harass, threaten, or intimidate other users
- Create multiple accounts to evade bans or restrictions
- Use the Platform to promote external services or redirect users away from the Platform
9. Intellectual Property
The Platform's name, logo, design, code, and all related trademarks and branding are the exclusive property of UnlockAndLook. You may not use, copy, or reproduce any of our intellectual property without written permission. User-generated content remains the property of the respective creators, subject to the license granted in Section 5.
10. Termination
We reserve the right to suspend or terminate your account at any time, for any reason, at our sole discretion, with or without prior notice. Reasons for termination may include but are not limited to:
- Violation of these Terms or any of our policies
- Suspected fraudulent, illegal, or harmful activity
- Extended account inactivity
- Request by law enforcement or government agencies
- Discontinuation of the Service
Upon termination, your right to use the Service ceases immediately. We may, at our discretion, withhold any pending payouts associated with accounts terminated for policy violations. Sections 4, 11, 12, 13, 14, and 15 survive termination.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- Any content purchased will meet your expectations
- Any errors in the Service will be corrected
You use the Service at your own risk. No advice or information obtained from us shall create any warranty not expressly stated in these Terms.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNLOCKANDLOOK, ITS OPERATORS, AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from content uploaded, sold, or purchased by users
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from any third-party conduct on the Service
Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total fees you have paid to the Platform in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless UnlockAndLook and its operators, affiliates, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:
- Your use of the Service
- Any content you upload, sell, purchase, or distribute through the Service
- Your violation of these Terms or any applicable law
- Your violation of any third-party rights
- Any dispute between you and another user
14. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be resolved through binding arbitration administered under the rules of the jurisdiction in which the Platform operates. Class action lawsuits, class-wide arbitrations, and representative actions are not permitted. You agree to resolve disputes on an individual basis only.
15. General Provisions
- Entire Agreement: These Terms, together with our other policies, constitute the entire agreement between you and UnlockAndLook
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right
- Assignment: You may not assign your rights under these Terms. We may assign our rights at any time without notice
- Force Majeure: We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or cyberattacks
- Modifications: We reserve the right to modify these Terms at any time. Changes take effect upon posting to the Platform. Continued use of the Service after changes constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically
